1. Acceptance of Terms
By requesting a quote, contracting, or using any of the services offered by Budforms Technologies LLC (hereinafter, “Budforms USA”, “we”, “our”, “us”), you (hereinafter, “the Client”) expressly accept these General Terms and Conditions, which will govern the contractual relationship between the parties. These terms complement any specific proposal, quote, or agreement signed between the parties.
2. Description of Services
Budforms Technologies LLC specializes in consulting, implementation, customization, maintenance, and technical support for Odoo systems and related technologies. Services may include, but are not limited to: Odoo implementation, custom module development, technical support, database administration, training, and web/domain configuration services.
3. Quotes and Scope
All quotes issued by Budforms Technologies LLC are valid for 15 (fifteen) calendar days from their issuance date. Any service will be formalized in a written proposal or work order (the “Specific Agreement”), detailing the scope, timeline, fees, and deliverables. Said Specific Agreement forms an integral part of these Terms.
4. Pricing and Invoicing
Prices are indicated in United States Dollars (USD) and are exclusive of applicable taxes, unless expressly stated otherwise.
Payments will be made as stipulated in the Specific Agreement (initial payment, milestone-based, monthly, etc.).
Invoices will be sent via email.
Important: Delayed payment of any overdue invoice constitutes a material breach. Budforms Technologies LLC reserves the right to immediately suspend the provision of all services until the outstanding amount is settled, and/or to terminate the corresponding Specific Agreement by written notice, without prejudice to collecting the amounts owed.
5. Client Responsibilities
The Client agrees to: provide complete and accurate information in a timely manner; designate an authorized point of contact; obtain and maintain necessary software licenses (e.g., Odoo); and, for third-party integrations, obtain the necessary API access, licenses, and credentials, guaranteeing the legal right to share such data with Budforms USA for the purposes of the service. If a maintenance plan is contracted, Budforms Technologies LLC will be the exclusive administrator of the Odoo system. Any unauthorized modification by the Client or a third party releases Budforms USA from liability for resulting problems.
6. Intellectual Property
The Odoo software and any pre-existing tools are the property of their respective owners. Custom developments created specifically for the Client and paid in full will become the Client's property once payment is completed in full.
7. Confidentiality
Both parties agree to maintain the confidentiality of any commercial, technical, or financial information shared during the provision of services.
8. Limitation of Liability
Budforms Technologies LLC will perform services with due professional diligence. However, its total liability, in any case, will be limited to the total amount paid by the Client for the services that gave rise to the claim in the last 12 months. It shall not be liable for indirect, consequential damages, or loss of profits.
9. Termination
Either party may terminate a Specific Agreement due to a material breach not remedied within 15 days after written notice. Budforms Technologies LLC may terminate immediately for payment delays.
10. Governing Law and Jurisdiction
These Terms and any Specific Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without giving effect to its conflict of law principles. Any dispute or controversy arising from these Terms shall be submitted to the exclusive jurisdiction of the state or federal courts located in [St. Lucie County] County, Florida, USA, and the parties agree to submit to the personal jurisdiction of such courts.
11. Modifications
Budforms Technologies LLC reserves the right to update these Terms. Modifications will be published on this webpage.

1. Aceptación de los Términos
Al solicitar una cotización, contratar o utilizar cualquiera de los servicios ofrecidos por Budforms México S. de R.L. (en adelante, “Budforms México”, “nosotros”, “nuestro”), usted (en adelante, “el Cliente”) acepta expresamente los presentes Términos y Condiciones Generales, que regirán la relación contractual entre las partes. Estos términos complementan cualquier propuesta, cotización o acuerdo específico firmado entre las partes.
2. Descripción de los Servicios
Budforms México se especializa en la consultoría, implementación, personalización, mantenimiento y soporte técnico de sistemas Odoo y tecnologías relacionadas. Los servicios pueden incluir, pero no limitarse a: implementación, desarrollo de módulos personalizados, soporte técnico, administración de bases de datos, capacitación y servicios de configuración web y de dominio.
3. Cotizaciones y Alcance
Todas las cotizaciones emitidas por Budforms México tienen una vigencia de 15 (quince) días naturales a partir de su fecha de emisión. Todo servicio será formalizado en una propuesta u orden de trabajo por escrito (el “Acuerdo Específico”), que detallará el alcance, cronograma, tarifas y entregables. Dicho Acuerdo Específico forma parte integral de estos Términos.
4. Precios y Facturación
Los precios se indican en Pesos Mexicanos (MXN) y son antes de IVA, a menos que se indique expresamente lo contrario.
Los pagos se realizarán según lo establecido en el Acuerdo Específico (pago inicial, por hitos, mensual, etc.).
Las facturas (CFDI) se emitirán de conformidad con la legislación fiscal mexicana vigente y se enviarán por correo electrónico.
Importante: El atraso en el pago de cualquier factura vencida constituye un incumplimiento material. Budforms México se reserva el derecho de suspender de inmediato la prestación de todos los servicios hasta que la deuda sea saldada, y/o de dar por terminado el Acuerdo Específico correspondiente mediante notificación por escrito, sin perjuicio de cobrar las cantidades adeudadas.
5. Responsabilidades del Cliente
El Cliente se compromete a: proporcionar información completa y veraz; designar un contacto autorizado; obtener y mantener las licencias de software necesarias (ej. Odoo); y, para integraciones con terceros, obtener los accesos API, licencias y credenciales necesarias, garantizando tener derecho legal a compartir dichos datos con Budforms México. Si contrata un plan de mantenimiento, Budforms México será el administrador exclusivo del sistema Odoo. Cualquier modificación no autorizada por el Cliente o un tercero libera a Budforms México de responsabilidad por problemas derivados.
6. Propiedad Intelectual
El software Odoy y las herramientas preexistentes son propiedad de sus titulares. Los desarrollos personalizados creados específicamente para el Cliente y pagados en su totalidad serán de su propiedad una vez completado el pago íntegro.
7. Confidencialidad
Las partes se comprometen a mantener la confidencialidad de la información comercial, técnica o financiera compartida durante la prestación de los servicios.
8. Limitación de Responsabilidad
Budforms México realizará los servicios con diligencia profesional. Sin embargo, su responsabilidad total, en cualquier caso, estará limitada al monto total pagado por el Cliente por los servicios que dieron origen al reclamo en los últimos 12 meses. No será responsable por daños indirectos, consecuentes o pérdida de beneficios.
9. Terminación
Cualquiera de las partes podrá terminar un Acuerdo Específico por incumplimiento esencial no subsanado en 15 días tras notificación por escrito. Budforms México podrá terminar inmediatamente por mora en los pagos.
10. Ley Aplicable y Jurisdicción
Estos Términos y cualquier Acuerdo Específico se regirán e interpretarán conforme a las leyes federales de los Estados Unidos Mexicanos. Para cualquier controversia derivada de los presentes, las partes se someten a la jurisdicción de los tribunales competentes de la ciudad de Querétaro, Querétaro, México, renunciando expresamente a cualquier otro fuero que por razón de sus domicilios presentes o futuros les pudiera corresponder.
11. Modificaciones
Budforms México se reserva el derecho de actualizar estos Términos. Las modificaciones se publicarán en esta página web.
